1. ABOUT ADN — ADN Local Rewards & Loyalty Network™ is a paid consumer membership and rewards platform operated in the United States. ADN provides access to local merchant offers, a community video showcase, a vetted local app marketplace, an in-app messaging system, and member rewards. ADN is NOT an investment, security, ownership interest, equity, or profit-sharing offering. There is no expectation of financial return.

2. ELIGIBILITY — You must be at least 13 years old to register. Users aged 13–17 are subject to additional youth restrictions and require verifiable parental consent under COPPA. Only users 18+ can make payments, send direct messages, or earn referral rewards. By registering, you affirm under penalty of perjury that the date of birth you provided is accurate.

3. FEES — The $25 Founding VIP activation fee is one-time and non-refundable once a Founding VIP slot is reserved. The $9.99/month membership fee continues monthly until cancelled. Founding VIP pricing is locked to the original member and is non-transferable. ADN may modify standard (non-Founding) pricing with 30 days notice.

4. CANCELLATION — You may cancel any time from your member dashboard. A 7-day grace window applies during which your access remains active. After grace, role privileges (Business Partner, Developer, Ambassador) tied to your membership automatically pause per the Core ADN Rule.

5. IN-APP MESSAGING — DMs are intended for customer-service interactions between members and businesses, members and ambassadors, and developers and their app buyers. Member-to-member DMs are not permitted. All messages are logged. Sharing payment information, personal financial details, or unlawful content is prohibited. Violations may result in suspension.

6. USER CONTENT — Videos, offers, and other content you submit remain your property; by submitting, you grant ADN a non-exclusive, royalty-free, worldwide license to display, edit, and distribute that content on the platform. ADN may approve, reject, edit, categorize, or remove submissions at its discretion.

7. ARBITRATION & GOVERNING LAW — These Terms are governed by the laws of the State of Florida. Disputes are resolved by binding individual arbitration in Duval County, Florida, except for small-claims actions or claims for injunctive relief. You waive class-action rights to the maximum extent permitted by law.

8. INDEMNITY & LIABILITY — You agree to indemnify ADN against claims arising from your violation of these Terms or applicable law. ADN's aggregate liability is limited to the fees paid by you in the prior 12 months. ADN is not liable for indirect, consequential, or punitive damages.

9. CHANGES — ADN may amend these Terms at any time. Material changes will be emailed and posted with a new effective date. Continued use after the effective date constitutes acceptance.
